W-8BEN or W-9? Start with the payee facts
Separate individual versus entity status and U.S. tax status before requesting a form from a vendor or other payee.

Applies to: U.S. federal withholding-document education, using IRS Form W-8BEN instructions revised October 2021 and checked October 2, 2026. No determination of residence, treaty eligibility or withholding rate.
A vendor-onboarding checklist should not choose a tax form from the address on an invoice alone. The person receiving the payment, their U.S. tax status and the nature of the payment all matter. Capture the facts and route uncertainty to a qualified reviewer before relying on the document.
Understand the basic distinction
The IRS W-8BEN instructions describe the form for certain foreign individual beneficial owners. A U.S. citizen or other U.S. person generally uses Form W-9 to document that status, including a U.S. citizen living abroad. Foreign entities generally use W-8BEN-E rather than the individual form. The instructions identify exceptions involving effectively connected income, intermediaries and some personal-service compensation. This is not a complete form-selection decision tree.
The form is normally provided to the requester or withholding agent, not sent directly to the IRS. Any treaty claim needs its own eligibility review. A completed document is not a reason to assume that every payment receives the same withholding treatment.
Build a useful handover record
- Record the payee name and whether the proposed payee is an individual or an entity.
- Identify the transaction or payment relationship being documented.
- Keep the tax-status question separate from the supplier’s trading address.
- Record which form the responsible reviewer requested and when it was received.
- Retain the approved document securely and track unresolved questions without exposing identifiers on a general task list.
- Route reported changes in circumstances back to the reviewer.
Example: the address does not settle the answer
Consider a hypothetical supplier whose invoice shows a Canadian address. The onboarding team has not established whether the payee is a person or a corporation, or whether the person is a U.S. citizen. Sending the same preselected form to every Canadian address would skip those questions. The better handover identifies what is known, what remains unknown and who can resolve the uncertainty.
Keep the source documents linked to the supplier record used in the bookkeeping workflow. Avoid creating a second supplier merely to store a replacement tax form; preserve the document history and the reviewed relationship.
Questions about payee documentation
Can a bookkeeper choose tax residence from a mailing address?
No. Ask for the relevant facts and obtain appropriate review. A location label does not establish a person’s tax status.
Does W-8BEN cover every foreign business?
No. Its individual scope and the exceptions require attention. Use the current IRS instructions for the actual payee and payment.
Should completed forms be attached to a public enquiry?
No. Arrange a verified secure handover. An initial enquiry can describe the documentation problem without transmitting tax identifiers.
